Lease provisions

During the period of lease, the customer is entitled to bug-fixes and upgrades to the modules they are leasing. There are no charge for the upgrades and the upgrades are voluntary on their part, but strongly recommended by Zenpire.

Lease support

Limited support is provided standard to the lease agreement. E-mail support is free, phone and chat support are provided on a "per incident" basis. The customer's account is charged for time engaged in the support question and billed monthly. This support plan is structured to provide the lowest price for the product for the majority of users who do not need the immediate support. Eventually an internal support structure will be created within the customer facility, prompting most users to desire not to pay extra for unused support.

The Enterprise License Levels (refer to license terms here) can establish a stronger support structure such as dedicated personnel, on-site coverage and unlimited incidents.

Lease duration and expiration

At the time when the lease is ratified by both Zenpire and the customer, a lease duration is agreed upon. Longer periods get better lease rates. Lease periods are typically a year or less. All iFAB modules require an activation code to enable the module's features. The activation code given to you by your Zenpire Sales person enforces the duration of the lease. The end-user must enter the activation code using the iFAB License Manager before he is able to use any of the modules.

At an appropriate time period prior to the module's lease epiration, the customer will be notified by the means identified in the lease agreement (letter, e-mail, phone call). If the customer does not renew using the one of the following methods provided by Zenpire:

  1. submitting a new Purchase Order
  2. ordering online, using credit card for payment
  3. written authorization of draft from open Purchase Order
  4. written authorization of charge to Zenpire credit account

the software will "self-timeout". This "lease expiration" might be at a inopportune time as the expiring iFAB module might support the flow of production material. Zenpire will not be liable for lost profits from a software time-out if the required expiration warnings were attempted by Zenpire. These stipulations will be outlined in the lease agreement.

 

Lease renewal

If the customer decides to renew the module's lease, the provisions in the lease agreement for period extensions go into effect. Written confrmation of the request for renewal from the customer is required. Lease prices and terms might change; Zenpire will notify the customer of all lease changes in writing prior to renewal acceptance.

 

Lease pricing

iFAB pricing is based on several issues:

  1. Number of licenses per module at a physical site. ( A site is a building or series of building sharing the same mailing address )
  2. Type of module licenses rented
  3. Duration of license lease. (The longer the lease, the lower the price)
  4. License Level Discount (The higher the quantity of license, the lower the price)

Lease termination

At the end of the lease period, if the customer decides not to renew the lease, the lease is considered terminated.

If either party wishes to terminate the lease prior to the expiration of the lease, they must contact the other party with their desires. As with most leases, both parties must agree to terminate the lease in writing
