| What
does software leasing mean? |
| "Leasing
software" is interpreted as "leasing the license to use"
the software. In an effort to minimize the risk of purchasing software,
and to keep the initial cost of our software products low, Zenpire
leases its software to its customers. Leasing software is similar
to leasing a house or a vehicle. Instead of paying a partial payment
when a product is delivered and a remaining-balance payment after
the product is accepted, leasing provides for equal, repeated payments
for the duration of the lease period. A lease payment is much less
than a purchase payment, and can be terminated when the lease period
ends. If the product is still useful at the end of the lease, the
lease is renewed. If another product is more appealing after the lease
expiration, the users are free to take a risk and purchase another
product without any additional financial obligations to the leased
iFAB module.
iFAB uses activation codes which "time-out" the software
when the lease expires. These activation codes are stored as files
or in a hardware "dongle" which connects to a serial port
of the machine it is installed on.

| Why
should you lease software? |
- Leasing is an emerging, popular method for end-users to afford
large scale software. Historically speaking, engineers in the
semiconductor and flat panel industries have had a difficult time
justifying the enormous cost of any enterprise software to the
financial decision makers in their fab, especially when there
is no dominant and well known vendor that the decision maker recognizes
and respects. Leasing allows engineers to get software in-house
without attempting to get the proper signing authority for $100,000
to $500,000. Most of the iFAB module lease rates are less than
$400 a month per license.
- Zenpire leasing policy provides for no charge upgrades and
bug-fixes during the duration of the lease. When other non-Zenpire
enterprise software is purchased, a "Service Agreement"
tax of around 15% is commonly added to cover the "cost"
of upgrades. Most purchasers do not observe this added expense
as it is cleverly billed separately. This 15% cost is NOT added
to Zenpire software.
- Leasing motivates the vendor and the customer to periodically
open a constructive dialog. As leases are negotiated, the vendor
and customer must discuss the terms, this is an excellent opportunity
for the customer to offer highly desired feature requests to the
vendor and for the vendor to justify its product development cycle
to the customers. Zenpire enjoys this opportunity to interact
with its customers.
- Leasing software is a better tax deduction. For the same reason
people lease cars because it is easier to claim the deduction,
a fab can claim theZentyropic software lease price as a deduction;
rather than calculating the depreciation and expense of a software

|
Leasing software requires the support for lease enforcement and
logistics in the software components as well as the company's accounting
and account management practices. This means that the capabilities
have to be designed into the product. Zenpire is the first in
this market to embrace and develop this technology. Like many of
the other features in the iFAB product line, leasing is aimed at
increasing the ability to get needed tools on engineers desktop
without adding any unforeseeable limits to the software capabilities.
Someday other vendors will follow suit, until then Zenpire will
stand alone.
